The Viva Wallet Group

Viva Wallet Group, actively providing services in 28 European countries, implements a Corporate Governance framework in accordance with the current legal and regulatory framework and international best practices.

The applied Corporate Governance policies and procedures focus on the effective governance of all Group companies, with transparency and commitment to the provision of high- quality services. The strategic goals of Viva Wallet Group’s Corporate Governance framework are:

• The attraction of high-caliber executives and staff members for the Group, both as regards the Group’s corporate bodies, as well as at the operational level,

• The timely adjustment to technological developments, customers’ needs and the current legal and regulatory framework,

• The development of effective channels of direct and seamless communication between Senior Management, executives and staff members, as well as between the Group companies,

• The formation of a meritocratic corporate environment, without discrimination and with emphasis on rewarding innovation and ongoing improvement of executives and staff members.

Vivabank, as a member of the Viva Wallet Group family and as a credit institution licensed and supervised by the Bank of Greece, also authorized to provide payment and banking services across 28 countries of the European Economic Area (EEA) under a 'freedom of services' passport, is a vital part of the Group Corporate Governance framework, given that it is responsible for compliance with all policies and procedures provided under the current regulatory framework for Vivabank individually, as well as for the entire Group on a consolidated basis.

Board of Directors

The Corporate Governance framework of Viva Wallet safeguards the independence of judgment of the members of the Board of Directors (‘BoD’) and encourages dialogue with the Group's executives, aiming to ensure effective oversight of the decision-making process and the prudent management of risks and corporate affairs. The duties of the Vivabank’s BoD Chairman are distinct from the Chief Executive Officer’s duties.

The BoD members of Vivabank have all the required knowledge, competence and skills to carry out their duties successfully, understanding all aspects of the activity of the Bank and the Group.

The Board of Directors of Vivabank consists of nine (9) members and its term is five years. It comprises of Executive, Non-Executive and Independent Non-Executive Members.
